What You Will Own
Ensure compliance with Company Law, corporate governance, and statutory requirements. Review, draft, and negotiate contracts, including vendor, partnership, consultancy, employee, investment, and M&A agreements, ensuring adherence to RBI, technology, and internal policies. Drive compliance and regulatory frameworks, manage legal risks, disputes, and litigation, and support strategic initiatives such as M&A, business expansion, and commercial or technology projects. Lead IP management and guide the legal team to deliver high-quality legal services.
Experience You Should Bring
- Qualified Company Secretary and a LLB degree.

What You Will Be Doing
1.Company Law Compliances
- Ensure compliance with the Companies Act, 2013, and related rules.
- Maintain statutory registers, records, and minutes of Board and General Meetings.
- File necessary e-forms and returns with the Ministry of Corporate Affairs (MCA).
- Advise management on company law & associated laws.
2.Investment/ Disinvestment & Related Compliances
- Draft and review investment/disinvestment agreements, shareholders’ agreements, share subscription agreements, and related documentation, documents related to merger and acquisition.
- Ensure compliance with FEMA, FDI, and SEBI regulations, wherever applicable.
- Manage post-investment compliance, including filings, disclosures, and investor communication.
3 .Agreement Review & Contract Management
- Review, draft, and negotiate agreements including vendor agreements, strategic alliance agreements, partnership agreements, consultancy agreements, and employee agreements.
- Additionally, handle investment/disinvestment agreements, shareholders’ agreements, share subscription agreements, and M&A documents.
- Monitor contract lifecycle, implement tracking processes, and provide timely advice to business teams.
4.Strategic Initiatives
- Provide legal support for strategic initiatives/ projects.
- Review contracts, agreements, and partnerships associated with such initiatives/ projects
- Advise on legal risks, regulatory requirements, and compliance considerations.

5.Intellectual Property (IPR) Management

6.Advisory & Risk Management
- Provide proactive legal and compliance advice to business teams.

7.Corporate Governance & Policy Framework

Role Summary:
We are looking for a proactive and detail-oriented Legal Manager to oversee legal and compliance matters within our retail operations. The ideal candidate will provide strategic legal support across commercial, real estate, consumer, employment, and regulatory domains, ensuring legal compliance and minimizing risk while enabling business growth.
Key Responsibilities:
- Draft, review, and negotiate contracts including vendor, lease, franchise, and service agreements.
- Advise on legal aspects of retail operations—consumer laws, advertising, e-commerce, and promotions.
- Draft, review and negotiate agreements and other legal documents, including vendor contracts, retainer contracts, non-disclosure agreements, letters to banks or governmental organisations, etc., to ensure that they (a) are compliant with all applicable laws, (b) incorporate all internal policy requirements and (c) take care of the organisation's interests.
- To Organize, manage and control activities related to IP Management: Patent/Trade Mark/Design /Copyright/ searches, drafting, Filing and responses.
- Handle legal issues related to store expansion, leasing, and real estate disputes.
- Support HR with employment law matters, workplace policies, and dispute resolution.

- Work with external legal counsels on litigation and arbitration matters, if/as and when they arise.
- Coordinate with external legal consultants/advocates/law firms on various legal matters.
- Monitor changes in laws and regulations affecting the retail sector.
- Conduct training and develop internal legal policies to reduce operational risk.
Requirements:
- Bachelor’s degree in Law (LLB); LLM is an advantage.
- 5–8 years of relevant legal experience, preferably in the retail/FMCG/e-commerce sector.
- Strong knowledge of contract law, labour law, consumer protection, and retail regulations.
- Excellent drafting, negotiation, and communication skills.
- Ability to balance legal risks with business priorities.
Preferred Skills:
