This role requires a highly organized and motivated person, who can assist in contractual matters, and have a specialization in negotiations & closure of complex contracts.
**Your responsibilities**
- Draft, negotiate and review all customer/vendor contracts including master services agreement, statement of works (SOWs), licensing agreement/software agreement/EULA, amendments, change orders and NDAs.
- Proficient in drafting letters, memoranda and any other legal documents as needed for customers’ RFPs/RFIs/RFQs/LOIs
- Assist on regulatory matters, strategic issues and assist in maintaining a compliance posture of business. Assumes additional responsibilities as assigned.
- Advise on a host of business and corporate law requirements. Research legal issues and provide proactive, sound & professional legal advice.
- Manage tracking systems for various types of contracts and complete contracts database
- Assist in general administration and operations, and other special projects as requested
**You Should Have**
- Excellent drafting skills, particularly depicting complex ideas clearly and concisely.
- Proven ability to work in a client-centric, deadline-driven environment, highly detail-oriented, with good analytical skills, legal acumen, and business judgment
- Professionalism in both verbal and written work
**About You**
- A qualified lawyer in India having 4-6 years of total experience with commercial transactional support, including drafting, reviewing and negotiating commercial contracts, particularly services and supply agreements, software license and technology agreements, NDAs, procurement and other inbound agreements.
- Experience working in the corporate legal department of a company (US company preferred) in the telecoms, software, technology or integrator sectors preferred.
- Experience working in the corporate or commercial department of a top-rated law firm or a leading (higher rated) niche technology law firm strongly preferred
- Excellent track record in previous client support/customer service engagements

We are looking for a Lawyer with experience of 3-5 years PQE working in-house in a corporate or startup looking to build contract lifecycles for our clients. The candidate will be given exposure to GDPR implementation, global contracts (APAC/MENA/LATAM), and contract lifecycle implementation.
What will be your key responsibilities?

- Ensure high quality levels in process delivery by quality-checking deliverables
- Manage end-to-end contract lifecycle management activities, including recording fully executed agreements into contract databases, managing renewals, extensions, renegotiation, amendments, and terminations of contracts, etc.
- Developing and implementing processes and controls that address applicable privacy and data protection requirements for India and abroad including GDPR, COPPA, etc.

The legal department has an opening for a Contracts Manager who will be responsible for the management, review and negotiation of commercial contracts. The successful candidate must be very detail-oriented, self-motivated used to a fast-paced environment and deadline driven preferably with prior in-house legal experience, preferably in the information technology industry.
Responsibilities will include:
+ **Review, redline and negotiate customer (third party) terms and conditions for sale of technology products and services for commercial customers. These contracts may include Master Purchase Agreements, Professional Services Agreements, Statements of Work, Subcontracts, NDAs, Teaming Agreements and other channel agreements.**
+ Collaborate with other departments at WWT to engage Subject Matter Experts where needed.
+ Structure, draft and partner on contract negotiations both independently and in collaboration with the Associate General Counsel.
+ Act as primary liaison with WWT Associate General Counsel to facilitate legal review of non-standard requests from internal business teams or customers
+ Review Request for Proposal documents for legal risks and issues and guide the Proposals team to ensure legally compliant and accurate proposals are submitted.
+ Communicate effectively with internal departments to ensure proper execution of contracts and subcontracts.
+ Other duties as assigned.
Qualifications:
+ Bachelor's degree is required, in Law is preferred or Master's will be a plus.
+ **5-10 years of overall experience and at least five (5) years' experience reviewing, redlining and negotiating Customer (third party) contracts or a broad range of standard commercial contracts is desirable.**
+ A self-starter that can utilize their contract and risk knowledge as well as sound judgment to make decisions on complex or varied problems with minimal supervision.
+ Superior writing, analytical and communication skills, including experience engaging with sales and senior management.
+ Ability to quickly analyse advanced and complex transactions and propose innovative, creative and workable solutions.
+ Ability to work under pressure in a fast-paced environment while balancing tasks and managing timelines, address multiple competing priorities, and provide practical advice to business teams.
+ Ability to develop strong relationships with internal business units as well as with business management.
+ Team player willing to support fellow co-workers with urgent tasks.
+ **In-house legal department experience is desirable.**
**Standard Work timings:** Monday - Friday (2:00 PM IST to 11:00 PM IST) for first 6 months. This may change to regular India working with some overlap to US hours
