**The Role: Legal Counsel**
**The Team:** The Legal Department at OSTTRA is a small but robust team, and the position will report directly to the General Counsel of EMEA and APAC. We are a highly trusted and dynamic team that works in close partnership with the business to help drive maximum results.

**What's in it for you** **:** This in-house legal counsel position is based in our Gurgaon Office in India. Primary responsibilities will be to work on a broad range of corporate, corporate secretary, commercial, regulatory, privacy and transactional legal matters in all areas of OSTTRA's business. Lawyer will work closely with colleagues in the legal, business, front office and core infrastructure and support functions and report to the lead lawyer in India.

**Responsibilities:**
+ Manage, draft and negotiate various commercial contracts, including procurement and support, real estate, software licenses, services, maintenance, web-based services, consulting agreements, non-disclosure agreements and other commercial agreements
+ Support sales and other business teams including shared services groups based in different regions, globally and provide them with innovative business solutions.
+ Developing knowledge of multiple areas of the law, including intellectual property, and privacy, and data protection to counsel internal clients on business and legal risks arising at all stages of the customer relationship.
+ Analyzing, evaluating, and providing input to product and client initiatives with a view to identifying and highlighting possible business and legal risks to management.
+ Assist with various projects for OSTTRA's post-trade services, including client onboarding, commercial and jurisdictional issues, responding to regulatory requests and keeping abreast of post-trade regulatory developments in India
+ Provide company secretarial support or oversee third party provider of company secretarial support globally.
+ Liaise among business and various support and control divisions of OSTTRA, including IT, Tax, Compliance, Finance, Risk and Operations
+ Engage and manage outside counsel
+ Act as key member of team of commercial/corporate lawyers based in London, also with legal colleagues in the UK, US, India, Singapore, Sweden and Israel.
**What We're Looking For:**
+ Strong academic background / legal degree preferred or conversion
+ Qualified lawyer
+ 3 to 6 years experience of in-house and/or large law firm experience in a transactional practice
+ Must have an excellent command of the English language (both written and spoken)
+ Excellent drafting and negotiating skills
+ Legal experience in negotiating and drafting commercial and other business to business technology and information related contracts - nice to have
+ Experienced in data protection and commercial matters - nice to have
+ Knowledge of data and software licensing, intellectual property, and commercial contract law required - preferred
+ Knowledge of the laws England and of the State of NY is also great
+ Experience with technology, or financial services companies - nice to have
+ Proven ability to manage a variety of commercial transactions and special projects simultaneously

As the onsite Legal Counsel, the primary responsibility is to provide broad legal counsel and general legal mentorship in India and also at the operational team level for IM's India operations. This is an exciting individual contributor role with large exposure to all levels within the business.
This role will be responsible for providing strategic and operational legal advice and counsel in all areas of law to support the business teams and help them achieve their goals, while protecting the company's rights, interests and reputation. The role requires a team-oriented, solutions-focused and agile business partner who will work with a hands-on approach on extensive and sophisticated legal issues.
This position reports to the Legal Director for IM India.
**_Key Accountabilities_**
Proficient at negotiating and drafting of various contracts including, without limitation, supply, distribution, wholesaler, co-marketing, co-promotion, sales, product licensing, clinical trials, post marketing survey, investigator-initiated study, donation, speaker engagement, employment and non-disclosure agreements.
Be able to proactively assess legal and governance risks to the business and work with stakeholders to devise and implement policies and procedures to address and manage those risks including preventative actions, trainings and communications. Coordinating with the global Intellectual Property team on trademark and patent matters pertaining to products commercialized and proposed to be commercialized by the India and the International (South Asia) business team.
+ Assisting the business on contractual and legal aspects and labour related matters.

Your Role
Are you an experienced Commercial Lawyer looking for a new challenge with a global remit, if so we want you to join the James Walker Legal team as a Legal Counsel.
Reporting to the Head of Legal and Commercial Contracts based in the UK, you will work together to improve the legal operations, provide legal support to the global sales and procurement teams and other departments responsible for product engineering, technology and marketing. Using your experience and knowledge you’ll help the James Walker Group improve legal compliance and support with special projects.
The working hours for this role are Monday – Friday and will need to cover 10am to 3pm UK time
Key Responsibilities
- Provide legal support to our sales and procurement functions globally.
- Provide legal advice and carry out research on laws and regulations.
- Draft, review, and negotiate a wide variety of manufacturing, procurement, sales, and other business-related contracts with minimal supervision.
- Draft guidelines, policies, and templates.
- Advise on contentious matters including managing external counsel and negotiating settlements.
- Provide legal support on compliance matters (e.g. GDPR/privacy, anti-bribery, sanctions, export control, and modern slavery).
- Liaise with the other members of the legal team.
- Assist in the further development of the Legal Department and promote best practices across the organisation.
- Assist in training the various business teams on legal issues.
Competencies:
As a Legal Counsel, you will need excellent written and verbal communication skills and the ability to communicate and build relationships with different stakeholders globally across the James Walker organisation. The position requires attention to detail and the ability to provide commercially sound legal advice in a fast-paced environment along with.
- Good drafting and negotiation skills with the ability to craft be-spoke clauses.
- Able to explain legal issues in plain English and provide legal solutions that meet the business’ needs.
- Excellent planning, attention to detail, organisational and time management skills with the ability to work to tight time schedules, prioritising and handling conflicting demands.
- A proactive, can-do approach to problem-solving.
- Able to work with minimal supervision and as part of a team.
- Able to communicate and build relationships with stakeholders, including colleagues, Board members, customer’s lawyer and external partners.
Experience/Qualifications:
- Qualified Lawyer in India or a common law jurisdiction with basic understanding of English Law. As guidance, someone with 2 to 5 years post qualified experience.
- Working knowledge of intellectual property, GDPR/privacy, export control and sanctions laws, anti-bribery and modern slavery).
- Proficient in Microsoft Office Suite including Word, Excel, PowerPoint, Teams and Outlook.
- Experienced in carrying out legal research and providing legal advice that is pragmatic.
Helpful:
- Has experience being in an in-house legal team or provided legal advice to engineering clients.
- Experience in legal projects and legal project management.
- Experience in supporting the sales or procurement function.
- Public sector, defence sector or oil and gas contracting experience.

About the Role :

As Legal Counsel for each campus entity, you will lead the legal workstream for this strategic initiative, in consultation with the Global General Counsel and the Head of Legal, India. Roles and Responsibilities :
- Serve as the legal team lead for the international campus initiative in India, owning end-to-end execution of contracts and compliance for physical campuses across multiple locations in India.
- Draft, review, and negotiate contracts relating to the international campus initiative in India, including those with students, faculty, partners and vendors.
- Respond to all student-related issues and compliance on behalf of international campus initiatives in India.
- Prepare and update form agreements, including collaborating with the organization’s Global General Counsel and Head of Legal, India, as appropriate.
- Partner with the Privacy Team to guide privacy laws as they impact the international campus initiative in India.
- Train internal clients in the contracting and compliance process/practices.
- Collaborate with internal subject matter experts in HR, Finance, among others, about intercompany transactions.
- Work within an increased volume of activity in business-critical legal matters, on diverse types of transactions in various time zones.

What We’re Looking For :
- 7+ years of in-house legal experience, ideally in the higher education or ed-tech sector
- Well-versed in contract drafting, reviewing, and negotiating.
- Working knowledge of University Grants Commission regulations for setting up foreign university campuses in India.
- Proven ability to work with globally distributed teams and external stakeholders with different time zones.
- Excellent verbal and written communication skills; ability to translate laws and regulations for non-legal stakeholders and university partners.
