Principal responsibilities
+ Assisting onshore Senior Transaction Manager with all aspects of loan execution (bilateral or multi-banked loans) and advisory on the structure of a transaction, including:
+ Drafting/reviewing term sheets;
+ Reviewing facility agreements for policy points/term sheet tick back of key terms;
+ High level review of minimum standard report (i.e HSBC's policy document) and finalising the report with external Lender counsel;
+ Reviewing, negotiating and settling release letters, reliance letters, legal opinions, fee letters, deeds of priority, deeds of subordination, CP sat letter, insurance broker letters and deeds of release;
+ Explaining common risks (both commercial and legal) associated with complex loan transactions;

+ Drafting simple fee indemnity letters;
+ Drafting internal dispensations for non-compliant policy points;
+ Supporting and advising UK Commercial Banking clients and the above-mentioned key stakeholders by interpreting legal advice/concepts and explaining impact and associated risks.
+ Negotiating and agreeing key terms embedded within term sheets and LMA facility agreements, ensuring compliance with HSBC'S internal policy, relevant credit approvals, common market practices in line with any external regulatory requirements.
+ With the support of Coverage, CMBO and other key stakeholders, participate in all parties calls on legal and policy points alongside with key commercial issues.
+ Responsible for delivery of volumes and quality, whilst working in a pressurized, time sensitive environment.
+ Effective and timely communication of matters requiring consideration and decision to the function heads, onshore SMEs and various internal stakeholders.
+ As team lead, leading, mentoring and supporting the team, fostering a high-performing, collaborative, and inclusive team culture, including:
+ Allocating work, setting clear expectations, and ensuring timely, high-quality delivery of outputs aligned with business priorities by the team members;

Requirements :
+ Legal qualification with 8-10 years of relevant work experience within the banking/financial services industry. Though not mandatory, it would be beneficial to have some private practice or law firm background, including exposure to diverse legal issues and client interactions.
+ Experience in drafting, reviewing, and negotiating complex credit and lending agreements/ loan documentation, security documents/arrangements and ancillary lending transaction documents in line with industry standards. Examples include: bilateral uncommitted/committed facilities, syndicated facility/loan agreements, guarantees and guarantee confirmation letters, mortgage/hypothecation/pledge documents, term-sheet mapping, ancillary documentation (for example corporate authorizations, commitment letter, fee letter, etc). Experience with LMA templates would be beneficial.
+ Demonstrable comprehensive knowledge of credit and lending laws, regulations, and practices.
+ Experience in delivering legal advice and guidance on credit transactions, risk management, and regulatory compliance to business counterparts and other stakeholders.
+ Prior experience in a people leadership or team management role, preferably in an in-house or law firm environment.
+ Proven ability to coach, mentor, and develop junior team members.
+ Strong organizational and delegation skills, with a track record of managing workflows and delivering through others.

+ A strong desire to develop structuring skills and to lead negotiations on complex corporate loan transactions including refinances, Sustainable Linked Loans, MBO's, "cashouts", acquisition finance and post IPO financing is preferable.
+ Excellent written and spoken communication skills, alongside an eye for detail, with some experience of successfully influencing others, negotiating effectively.
+ Ability to effectively engage and negotiate with senior stakeholders, demonstrating considered foresight and highly developed interpersonal skills.

The Johnson & Johnson Law Department is recruiting for the position of Legal Counsel, Innovative Medicine (IM) India.
As the onsite Legal Counsel, the primary responsibility is to provide broad legal counsel and general legal mentorship in India and also at the operational team level for IM's India operations. This is an exciting individual contributor role with large exposure to all levels within the business.
This role will be responsible for providing strategic and operational legal advice and counsel in all areas of law to support the business teams and help them achieve their goals, while protecting the company's rights, interests and reputation. The role requires a team-oriented, solutions-focused and agile business partner who will work with a hands-on approach on extensive and sophisticated legal issues.
This position reports to the Legal Director for IM India.
**_Key Accountabilities_**
Proficient at negotiating and drafting of various contracts including, without limitation, supply, distribution, wholesaler, co-marketing, co-promotion, sales, product licensing, clinical trials, post marketing survey, investigator-initiated study, donation, speaker engagement, employment and non-disclosure agreements.
Be able to proactively assess legal and governance risks to the business and work with stakeholders to devise and implement policies and procedures to address and manage those risks including preventative actions, trainings and communications. Coordinating with the global Intellectual Property team on trademark and patent matters pertaining to products commercialized and proposed to be commercialized by the India and the International (South Asia) business team.
+ Assisting the business on contractual and legal aspects and labour related matters.
+ Management of litigation initiated by and against the company and coordinating with external litigation counsel/ law firms in this connection.
+ Advising the Marketing and Medical functions on product labelling, marketing and ethical promotion. Supervising the India legal environment and providing regular updates to the leadership team on relevant legal / regulatory changes.
+ Support new business development initiatives (acquisition and licensing transactions) including due diligence reviews, negotiation of transactions and drafting/execution of deal documentation.
+ As a solid business partner, actively participate in discussions and decisions and proactively provide legal counsel, strategic mentorship and valuable support to the IM India business.
+ Be able to proactively assess legal risks to the business and work with management to devise and implement policies and procedures to address and manage those risks including preventative actions, trainings and communications.

+ Provide legal counsel and support on legal issues and risk management for all enabling functions of IM India including Human Resources, Operations, Quality, Government Affairs, Research & Development, Supply Chain, Sales, Marketing and Finance (e.g., employment law, procurement, product liability etc).
+ Work on various Law Department projects from time to time.
+ Proactively partner with and share knowledge and standard processes with other Johnson & Johnson lawyers in India to drive local alignment with cluster, regional and global when providing legal services.

**A Day in the Life**
As Legal Counsel, you will play a critical role in supporting our global legal team with procurement contracting activities. A typical day will include interacting with our procurement teams, reviewing complex agreements, providing legal guidance and advice that aligns with company standards, and identifying legal and commercial risks. In addition, you will manage multiple contract requests and manage prioritizing deadlines. You will also be responsible for staying current on company policies and understanding the corporate legal strategies.
This role offers the opportunity to work closely with an experienced international legal team, gain exposure to complex commercial transactions, and contribute to strengthening the company's supplier relationships through effective contracting.
**Responsibilities may include the following and other duties may be assigned.**
+ Provide legal support for a wide range of contracts related to procurement, supply chain, SaaS, and healthcare services.
+ Review, draft, and negotiate agreements with a focus on risk mitigation and compliance with internal policies and applicable laws.
+ Support HCP contracting processes, ensuring alignment with healthcare compliance standards and transparency requirements.
+ Identify and assess areas of contractual risk and propose practical solutions.
+ Collaborate with U.S. and regional attorneys on day-to-day legal matters and strategic initiatives.
+ Leverage legal technology tools to streamline contract workflows and promote best practices.
+ Maintain accurate records and documentation in contract management systems.
**Required Knowledge and Experience:**
+ Law degree (LL.B. or equivalent) from a recognized institution; LL.M. preferred.
+ Minimum 5 years of relevant legal experience, preferably in a multinational or healthcare-related organization.
+ Strong understanding of commercial contracts, procurement law, and healthcare compliance.
+ Excellent written and verbal communication skills in English.
+ Ability to work independently and manage multiple priorities in a fast-paced environment.
+ Experience working with international legal teams is a plus.
+ Ability to collaborate cross-functionally across legal, procurement, and business team
