**The Role: Legal Counsel**
**The Team:** The Legal Department at OSTTRA is a small but robust team, and the position will report directly to the General Counsel of EMEA and APAC. We are a highly trusted and dynamic team that works in close partnership with the business to help drive maximum results.

**What's in it for you** **:** This in-house legal counsel position is based in our Gurgaon Office in India. Primary responsibilities will be to work on a broad range of corporate, corporate secretary, commercial, regulatory, privacy and transactional legal matters in all areas of OSTTRA's business. Lawyer will work closely with colleagues in the legal, business, front office and core infrastructure and support functions and report to the lead lawyer in India.

**Responsibilities:**
+ Manage, draft and negotiate various commercial contracts, including procurement and support, real estate, software licenses, services, maintenance, web-based services, consulting agreements, non-disclosure agreements and other commercial agreements
+ Support sales and other business teams including shared services groups based in different regions, globally and provide them with innovative business solutions.
+ Developing knowledge of multiple areas of the law, including intellectual property, and privacy, and data protection to counsel internal clients on business and legal risks arising at all stages of the customer relationship.
+ Analyzing, evaluating, and providing input to product and client initiatives with a view to identifying and highlighting possible business and legal risks to management.
+ Assist with various projects for OSTTRA's post-trade services, including client onboarding, commercial and jurisdictional issues, responding to regulatory requests and keeping abreast of post-trade regulatory developments in India
+ Provide company secretarial support or oversee third party provider of company secretarial support globally.
+ Liaise among business and various support and control divisions of OSTTRA, including IT, Tax, Compliance, Finance, Risk and Operations
+ Engage and manage outside counsel
+ Act as key member of team of commercial/corporate lawyers based in London, also with legal colleagues in the UK, US, India, Singapore, Sweden and Israel.
**What We're Looking For:**
+ Strong academic background / legal degree preferred or conversion
+ Qualified lawyer
+ 3 to 6 years experience of in-house and/or large law firm experience in a transactional practice
+ Must have an excellent command of the English language (both written and spoken)
+ Excellent drafting and negotiating skills
+ Legal experience in negotiating and drafting commercial and other business to business technology and information related contracts - nice to have
+ Experienced in data protection and commercial matters - nice to have
+ Knowledge of data and software licensing, intellectual property, and commercial contract law required - preferred
+ Knowledge of the laws England and of the State of NY is also great
+ Experience with technology, or financial services companies - nice to have
+ Proven ability to manage a variety of commercial transactions and special projects simultaneously

Qualifications
Education and Experience
+ Law degree from a reputable university.
+ Minimum of 10 years of post-qualification experience, ideally within a reputable law firm and as an in-house legal counsel in a multinational organization.
+ Prior in-house legal experience within a global pharmaceutical company and/or with pharmaceutical industry-specific regulations is preferred.
+ General understanding of / experience in following areas is a plus: antitrust and competition, compliance and anti-bribery, data privacy and protection, and intellectual property.

Reports To : Head, Disputes Litigation or to another senior member of Disputes team
Work type: Hybrid (2 to 3 days from office every week;(occasional work-based travel to other cities may be required)
What you will do:
Professional Experience : 3-6 years’ extensive original and appellate litigation experience (both civil and criminal) acquired in reputed set of Chambers/ Law Firms
Responsibilities:
- Independently managing and strategizing litigation such as cheque bouncing matters, criminal cases relating to cheating, fraud, forgery etc.
- Handling Criminal litigation with the objective of achieving maximum closure / resolution with successful outcomes for the organization.
-Corresponding and dealing with various regulatory and law enforcement authorities and agencies with the objective of successful closure of complaints and ensuring maximum compliance.
-Provide timely legal advice to management and internal stakeholders on litigation matters and relevant legal developments.
-Drafting notices; replies, depositions, pleadings, etc.
-Build a strong network of pan-India external lawyers and stakeholders for litigation, notice and complaint management.
-Working proactively with the team to create a strong litigation prevention and dispute resolution function; work with the team in training the organization and developing preventive strategies in order to prevent disputes converting into FIRs or litigation.
Who you are:
- LL.B. from an accredited law school
- 2 to 5 years of experience practicing in litigation
- Strong analytical and problem-solving skills
- Excellent written and verbal communication skills
- Ability to work independently and manage multiple priorities
- Attention to detail and strong organizational skills
- Ability to build and maintain strong client relationships
- Strong functional knowledge in criminal laws (especially procedure).

Purpose of the Job:
To provide legal support for the development of large-scale renewable projects in India, including all the legal activities associated to that.
Reporting lines
Reporting to: -GC-India
Key Accountabilities
- Assist in the preparation of documentation for partnerships with third parties on development projects in the region.
- Participate and contribute to the negotiation and preparation of legal documents for bid submission, including mark-ups of project agreements and EPC contracts.
- Participate and contribute to the negotiation of all partnership agreements, project agreements, and EPC contracts for projects in which the group is awarded preferred bidder status.
- Provide legal support for the financing of new projects and ensure timely completion of the related legal documents through to financial close.
- Assist with security creation as per the financing agreements/other agreements.
- Provide general advice on contracts and all legal matters as they arise (including regulatory and local law issues in coordination with local counsel) during the development, construction and operation phases of a project.
- Monitor trends in construction, infrastructure and electricity law amongst others and agreements related to the development of independent power projects.
- Manage the contracts of the projects under operation.
- Assist with the setting-up of companies in India, assisting with drafting board resolutions, power of attorneys and other ancillary corporate documents, as required, in order to ensure that such company is set up as per legal procedures
- Contribute to the implementation and use of the document management system.
- Ensure compliance with policies and procedures issued by the Engie Group, monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the Group.
- Awareness and reporting of ethical and human rights issues, if any, as they arise.
- Encourage a culture of compliance with laws and integrity in the Engie Group.
- Control the use, quality and cost of external legal counsel on development projects.
