About the role

This role will closely collaborate with the Operations, CSAT, Human Resources teams and US HQ Legal team as well as the empanelled chartered accountant firm or Chief Financial officer/Finance controller. The Paralegal will support Brightspark in its legal and compliance matters. The Paralegal will also be the legal point of contact in India for compliance per local labour laws, business operations, and other laws relating to branch office registration as well as assist the Head CSAT and Brightspark Chief Operating Officer on legal matters, under the review of the US Legal team. The Paralegal will closely work with the US Legal team in reviewing contracts, bid documents (as required), vendor contracts, and responses to legal notices on project related matters as may be required. The Paralegal may be asked to advise the CSAT and Operation departments on the wording in contracts, Purchase Orders, or memorandum of understanding.
**Expectations**:
- Maintain contact with US and India management teams, third party finance or account payable team, US Legal team, External Advisors and Human Resources regarding corporate and legal compliance in India.
- Draft & circulate internal policy approval requests, provide information for corporate and finance filings, and liaise with relevant stakeholders.
- Track of changes in law and works with US Legal Counsel and empanelled Chartered account firm on implication and actions.
- Provide insight to Head CSAT and COO about the day-to-day management of the organization on legal and statutory requirements, corporate governance matters, company policy, guidelines and procedures relating to Company Secretarial operations, while working with CQC’s US Legal team.
- Maintain the statutory registers, minutes books and paper book, and checklists for senior management team and ensure Brightspark meets all requirements corporate secretarial compliance.
- Ensure that statutory forms are filled promptly, timely implement Brightspark procedural and administrative systems—including providing close out information to relevant stakeholders and core team.
- File copies of resolutions, GST updates, and income tax with the relevant authorities (such as the Registrar). Handle other filings to be undertaken by Brightspark for the corporate secretarial matters (such as under Companies Act, and the relevant Shops & Establishment Act among other compliance for branch offices)
- Engage with consultants and auditors (where required).
- Contribute to a wide range of additional matters as needed for Brightspark operations including providing information to the US Legal team for legal and compliance actions, notices, any employees disputes and advises on internal corporate rules, advises under supervision of US Legal team Head CSAT,COO and Human Resources on any compliance risks anticipating due to any contracts and grants related deals, vendors terms and conditions, POSH and Employee hiring and exit disputes.
