  • Lead and manage all legal aspects of M&A transactions, including due diligence, negotiation, and closing.
  • Draft, review, and negotiate complex transaction agreements (SPAs, APAs, Merger Agreements, etc.).
  • Advise senior management and business teams on legal risks and strategic considerations for potential transactions.
  • Oversee and coordinate work of external counsel and other advisors in M&A activities.
  • Provide counsel on corporate governance, compliance, and regulatory matters related to transactions.
  • Assist with post-acquisition integration planning and execution.
  • Manage and maintain legal records and documentation for all M&A activities.
  • Develop and implement legal processes and policies to support M&A objectives.
  • Stay current with changes in M&A law and relevant regulatory frameworks.
Qualifications:
  • Juris Doctor (JD) or equivalent law degree from a reputable institution.
  • Admission to practice law in at least one relevant jurisdiction.
  • Minimum of 7 years of relevant legal experience, with a significant focus on M&A transactions.
  • Demonstrated experience in handling complex domestic and international M&A deals.
  • In-depth knowledge of corporate law, securities law, and contract law.
  • Exceptional negotiation, drafting, and analytical skills.
  • Strong business acumen and ability to provide practical legal advice.
  • Excellent communication and interpersonal skills for effective collaboration with diverse teams.
  • Proven ability to manage multiple projects simultaneously in a remote work setting.
