Role / Position Overview
Citi Legal Global Legal Solutions team supports the Citi Legal attorneys. On a day-to-day basis, the Global Legal Solutions TPM analyst will work to support the information security controls assessments performed on Citi Legal external law firms who meet Citi's Legal Risk Profile. The Global Legal Solutions TPM analyst will expect to partner closely with the various programs which make up Citi's Chief Information Security Office (CISO) to ensure proper risk management of Citi Legal.

**Team/Role Overview**
The Legal Operations Officer sits in the Outside Counsel Management Operations Team within Citi's Global Legal Solutions (GLS) Primarily, this role will focus on Legal Operations including accounts payable and managing multi-party (e.g., outside counsel, alternative legal service providers) compliance with external legal policies and procedures, including Citi's Outside Terms of Engagement and electronic billing guidelines. **Responsibilities:**

    The Corporate Secretary Support LRC ensures the organization remains in compliance with various regulations and legal standards by supporting subsidiary governance, managing legal entities systems, and drafting and maintaining regulatory related documents. Under limited supervision, this job is responsible for liaising and managing board meetings, shareholders meetings, partners & providing supporting to governance functions of the organization.

    Key Responsibilities and Duties
    - Provides subsidiary governance support for multi-jurisdictional entities and, through that support, ensuring the organization's compliance with various regulations and legal standards.
    - Assists with the management of the organization's legal entity management system, including assistance with the formation and dissolution of entities in various regions.
    - Drafts, reviews and revises organizational documents and consents, including certificates of incorporation, by-laws, charters and operating agreements, as required.
    - Ensures the accurate maintenance of corporate records and assist with the timely submission of regulatory filings.
    - Monitors corporate governance developments and assists the Board of Directors in tailoring governance practices to meet the Board of Directors' requests, needs and investor expectations.
