- LEGAL FUNCTIONS
A) CONTRACT DRAFTING & VETTING
- Independently handle drafting of various contracts, agreements & other legal documents.
- Negotiating key issues in the contract with the vendors through the business teams
- Meeting with business team for understanding of the commercial terms and to incorporate the same in the contracts.
- Ensuring that the business risks are minimized by way of identification and mitigation of the same under the contract clauses.
- Ensuring that risks taken by the business teams by way of commercial calls are documented by way of emails / file notes etc.
- Independently work on advertisement and marketing related contracts, sponsorship contracts, celebrity contracts, amendment letters, side-letters, novations, extensions, SLAs, etc.
- Follow up with concerned users in case of non-execution of contracts by vendors.
- Independently review and approve Group Company contracts in the DLV Automation portal.
- Providing advisory in relation with the executed contracts on interpretation of clauses, termination possibilities and other obligations of the parties inter-se
B) CONTRACT LIFECYCLE MANAGEMENT
- Taking ownership of the creation and formation of automated dashboard of contracts and online Contract Lifecycle Management portal
- Create & update from time to time the SOPs on Contract Lifecycle Management and follow the same.
- Authority to implement the Agreement portal and ensure the completeness of all the functionalities.
- Update the Contracts with the unique identification number and maintain the repository and keep it up to date.
- Monitoring of contracts through the repository and sending reminders to various business divisions and departments through the portal for seeking instructions on renewal or expiry of contracts.
C) DEALER, PRODUCT & REGULATORY LITIGATIONS / ENQUIRIES
- Advising brands on dealer / vendor issues and effectively managing separation / closure of dealers / vendors.
- Preparing the termination documents in consultation with Brand Teams and external law firms, well before the dealer termination takes place.
- Ensuring that the communication to dealers is vetted by Legal before it is sent.
- Close co-ordination with Dealer Development departments of brands to ensure quick resolution of issues.
- Provide drafts of closure letters and MOU for settlement of dealer issues, in the best interest of the brands.
- Independently handling litigations including conducting analysis, evaluation and defence of any legal dispute on behalf of the Company at various courts, forums, tribunals, corporations, commissions and other judicial bodies that may be required from time to time.
- Ensuring that Company is represented by capable lawyers for legal cases all over India.
- Independently handling alternate dispute resolution including proceedings under arbitrations and mediations.
- Briefing advocates on records of the Company before different courts, forums, authorities, etc., as required all over the country.
- Independently drafting legal replies, para wise comments for products claims in co- ordination with various brands.
- Endeavouring and assisting the brands, wherever required in reaching settlements in the cases filed before various Forums or Courts involving dispute(s) and preparing necessary documentation for the same.
- Wherever required, assist in drafting legal replies, para wise comments for legal cases in co-ordination with the concerned brands.
D)GOVERNANCE, RISKS AND COMPLIANCE & INTEGRITY COORDINATOR FOR LEGAL
- Independently handle the risk recording activity by identifying the risk, updating and documenting it on behalf of Department within the given timelines.
- Undertake the effectiveness of countermeasure and management controls and ensure that the activity is complete under the strict timelines.
- Reporting any significant risk foreseen by Legal Department on quarterly basis.
- Independently implement the Together4Integrity (T4I) deliverables of the Group within Department.
- Taking ownership towards implementation of Group initiatives under Role Model Program are performed by Legal Department from time to time.
- Independently provide legal advisory to GRC department before roll out of various policies and procedures.
- Ensure that mandatory trainings from legal field are completed by target groups
- Providing support to the Company in handling GRC related matters
E) STATUTORY COMPLIANCE MANAGEMENT
- Independently monitor the compliance management system implemented for the Company
- Co-ordination with vendor for updating various amendments to the existing regulations.
- Independently monitoring the areas of non-compliance and assisting users to take corrective actions.
- Communicating the compliance updates received from the vendor and other sources to the relevant business teams.
- Independently handle the process of change of the users in the compliance management system due on the personnel changes in various functions
- Provide assistance to superiors in resolving queries relating to the compliances that business team may pose with respect to the new or existing compliances.
- Authorised to independently engage with vendor on escalation of user / system related issues
GENERAL / MISCELLANEOUS:
GENERAL ADVISORY
- Independently provide legal opinion to various divisions and brands of the Company with respect to the applicable statutory laws and rules
- Independently provide legal and advisory services to Group Companies, as a part of DLV services provided to Group Companies (on need basis).
- Vetting of critical communications addressed to third parties, before it is sent.
- Providing advisory in relation to prevention of sexual harassment of women at work place and policy framed by Company in this regard.
- Provide advisory to concerned departments with respect to Data Protection Laws in India.
INTELLECTUAL PROPERTY RIGHTS
- Ownership of dealing with Trademark Attorneys and brand trademark departments of parent companies for expediting the cease and desist notices to infringing parties.
- Independently handling copyright applications for the Company.
- Providing support to Brand team by coordinating with trademark attorneys to research on availability of trade name.
- Responsible for taking countermeasures for securing domain name of various Brands by engaging in domain disputes.
- Independently briefing Senior Counsel and coordinate with local law firms and local trademark attorneys in handling IPR matters before the Indian Courts
- Independently drafting agreements from IPR perspective and safeguard the interest of our Company.
COMPETITION MATTERS
- Being a part of the team for defending the matters before Competition Commission and Competition Appellate Tribunal / National Company Law Appellate Tribunal on behalf of the Company as well as overseas Group Companies, arising out of issues based on anti-competitive agreements and abuse of dominant position.
MISCELLANEOUS
- Drafting and vetting disclaimers for print advertisements, terms and conditions for promotional marketing at social media platform.
- Assisting superior in drafting opinions / general advice required by various departments.
- Drafting and Vetting Website Web page T&Cs
- Be a part of the cross functional team on behalf of Legal for new Projects.
- Obtain approval from parent company on the legal expenses incurred with respect to critical matters that involves the parent companies and raise debit notes on parent company from time to time.
- Submission of provisions to parent company on quarterly basis and to the local accounts department as and when required.
- Ensure receipt of payments from the parent company towards the debit notes raised.
- Provide KSRM trainings to externs
- Responsible for submission of provisions on behalf of Department as and when required by finance team
